1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of BME Cloud, a biomedical equipment management platform for hospitals and healthcare facilities ("Service"). By creating an organization account, signing in, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and, if you are registering on behalf of a hospital or organization, on behalf of that organization.

2. The Service

BME Cloud helps healthcare facilities track and manage biomedical equipment, including asset registers, preventive maintenance schedules, breakdown and calibration records, AMC/CMC contracts, vendors and spare parts, equipment transfers between locations and departments, and related billing and compliance records.

The Service is intended for tracking equipment and operational records. It is not designed or intended to store patient health records, and organizations should not enter individually identifiable patient information into the Service.

3. Accounts & Organizations

  • An organization ("tenant") represents a single hospital or facility. Each organization's data is logically separated from other organizations using the Service.
  • The person who registers an organization, or whoever they designate as an administrator, is responsible for managing user access within that organization, including creating, deactivating, and setting appropriate roles for other users.
  • You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
  • You must provide accurate information when registering and keep it up to date.

4. Trial, Subscriptions & Billing

  • New organizations may start with a free trial period as described at signup. No payment method is required to start a trial.
  • Continued use of the Service after the trial requires an active paid subscription plan. Plans may set limits on the number of locations, equipment records, or users, as shown on your billing page.
  • Invoices are issued to the organization, including applicable GST where a GSTIN is provided. Online payments are processed through a third-party payment gateway (Razorpay); manual/offline payments may also be recorded by your organization administrator and confirmed by BME Cloud.
  • If an invoice is not paid by its due date, access to the Service may be limited until payment is made or other arrangements (such as a grace period) are confirmed.
  • Fees are generally non-refundable except where required by law or expressly stated otherwise.

5. Your Data

As between you and BME Cloud, your organization retains ownership of the equipment, maintenance, vendor, and other operational records it enters into the Service ("Customer Data"). We use Customer Data only to provide, maintain, and support the Service, as described in our Privacy Policy.

You are responsible for the accuracy of Customer Data your organization enters, and for ensuring you have the right to enter any information you submit.

6. Acceptable Use

You agree not to:

  • Use the Service to store patient health records or other data you are not authorized to process;
  • Attempt to access data belonging to another organization, or circumvent access controls;
  • Reverse engineer, scrape, or resell the Service without our written consent;
  • Upload malicious code or interfere with the normal operation of the Service;
  • Use the Service for any unlawful purpose.

7. Suspension & Termination

We may suspend or restrict access to an organization's account for non-payment, suspected misuse, or violation of these Terms, generally with prior notice where practical. You may stop using the Service and request account closure at any time by contacting us.

8. Availability & Disclaimers

We aim to keep the Service reliably available but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available." We disclaim, to the fullest extent permitted by law, all implied warranties, including fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, BME Cloud shall not be liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability for any claim relating to the Service is limited to the fees paid by your organization for the Service in the twelve (12) months preceding the claim.

10. Intellectual Property

BME Cloud and its underlying software, design, and branding are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property other than the limited right to use the Service as intended.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify organization administrators. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts having jurisdiction over [registered business location to be confirmed].
